In these Terms, "barKoder", "we", "us" and "our" refer to barKoder Ltd.
By accessing or using the website, creating a barKoder account or using website functionality governed by these Terms, you agree to be bound by these Terms.
If you access or use the website on behalf of a company, organization or other legal entity, you represent that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, you should not use the website or create a barKoder account.
Nothing in these Terms limits any rights that cannot lawfully be excluded or restricted under applicable law.
These Terms govern your use of the barKoder website and website functionality that is not governed by a more specific agreement.
The download, licensing, installation and use of the barKoder SDK, related software, Documentation and certain Developer Portal functionality are additionally governed by the applicable barKoder End User License Agreement ("EULA").
Commercial purchases, subscriptions, licenses and professional or other services may also be governed by an Order Form, quotation, statement of work, subscription agreement or other written agreement entered into between barKoder and the applicable customer.
If there is a conflict between these Terms and an applicable EULA, Order Form or other written agreement concerning a particular barKoder product or service, the more specific agreement will control with respect to that product or service.
These Terms do not modify rights or obligations contained in a separately executed agreement between barKoder and a customer unless that agreement expressly provides otherwise.
We may update these Terms from time to time to reflect changes to our website, services, business practices or applicable legal requirements.
The current version of the Terms will be published on this page together with the date on which it was last updated.
Where a change materially affects registered users or an ongoing service, we will provide reasonable additional notice where required by applicable law.
Changes to these Terms will not retroactively modify rights or obligations under an existing EULA, Order Form or other separately executed agreement unless such modification is expressly permitted by that agreement or agreed between the parties.
Your continued use of the website after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
Certain areas of the website and Developer Portal require registration.

You may use the website and Developer Portal only for lawful purposes and in accordance with these Terms and any other agreement applicable to your use.
You must not use the website, Developer Portal or related services to:
Authorized penetration testing, security research or vulnerability testing requires barKoder's prior written authorization.
barKoder processes personal data in accordance with our Privacy Policy.
Our use of cookies and similar technologies is also described in the Privacy Policy and through the Cookie Settings available on the website.
These Terms do not grant barKoder rights to personal data beyond those permitted under applicable data protection law and described in our Privacy Policy or another applicable agreement.
Software, SDKs, sample applications, libraries, plugins, wrappers, source-code examples and other downloadable materials made available through the website may be protected by copyright and other intellectual property rights.
The download, installation, licensing and use of the barKoder SDK and related software are governed by the applicable End User License Agreement and, where applicable, an Order Form or other license agreement.
Nothing in these Terms independently grants you a license to use barKoder software except to the extent expressly stated in these Terms or another applicable license agreement.
Where sample code or other materials are provided under a separate open-source or third-party license, that license will govern the applicable materials.
Unless otherwise stated, the website and its content, including:
are owned by, licensed to or otherwise lawfully used by barKoder and are protected by copyright, trademark and other applicable intellectual property laws.
You may access and use publicly available website content for personal or legitimate internal business purposes related to evaluating, integrating, purchasing, supporting or using barKoder products and services.
You may make reasonable internal copies of publicly available technical information and Documentation where necessary for legitimate evaluation, development, integration or internal business use, subject to any applicable EULA or separate license terms.
Except where expressly permitted by barKoder, an applicable license or applicable law, you may not:
Use of barKoder software and Documentation remains subject to the applicable EULA.
The barKoder name, logo and related names, product names and marks are trademarks or registered trademarks of barKoder Ltd.
Other product names, company names, logos and trademarks displayed on the website may belong to their respective owners.
Nothing on the website or in these Terms grants you a right or license to use a barKoder trademark except with our prior written permission or as otherwise expressly permitted by applicable law or another agreement.
Information you submit to barKoder will be handled in accordance with our Privacy Policy and, where applicable, any confidentiality obligations contained in the EULA, an Order Form, non-disclosure agreement or other agreement between you and barKoder.
Submitting information through the website does not transfer ownership of that information to barKoder.
barKoder does not obtain an unrestricted right to publish, distribute or commercially exploit customer confidential information merely because it has been submitted through the website, Developer Portal, support channels or another barKoder service.
Where information is provided for the purpose of obtaining support, responding to an inquiry, administering an account, providing a trial, issuing a quotation or otherwise supplying a requested service, you authorize barKoder to use that information to the extent reasonably necessary for that purpose.
Please do not submit confidential, proprietary or sensitive information through general website forms unless:
Nothing in this section limits confidentiality obligations contained in another agreement between you and barKoder.
If you voluntarily provide barKoder with suggestions, ideas, comments, recommendations or other feedback concerning our products, services, website or technology ("Feedback"), and that Feedback is not identified as confidential information, you grant barKoder a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify and incorporate the Feedback into our products, services and business activities.
barKoder is not required to implement or respond to Feedback and no compensation is payable for its use.
This section does not apply to:
or information that barKoder is otherwise legally or contractually required to treat as confidential.
We aim to maintain the availability and accuracy of the website but do not guarantee uninterrupted or error-free access.
The website or particular functionality may occasionally be unavailable because of:
We may modify, update, replace or discontinue publicly available website content or functionality from time to time.
Where functionality forms part of a paid service or licensed product, applicable availability, support and service obligations are governed by the applicable EULA, Order Form or other agreement rather than this section.
We use reasonable efforts to maintain accurate and current information on the website. However, website content may contain errors, omissions or information that becomes outdated.
Public website content is provided primarily for general informational, technical and commercial purposes.
To the maximum extent permitted by applicable law, the website and its publicly available content are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied or statutory.
barKoder does not warrant that:
Product specifications, warranties, service commitments, support obligations and contractual representations concerning licensed barKoder products are governed by the applicable EULA, Order Form or other written agreement and are not modified by this website disclaimer.
Nothing in these Terms excludes or limits any warranty, guarantee or statutory right that cannot lawfully be excluded or limited.
To the maximum extent permitted by applicable law, barKoder will not be liable for indirect, incidental, consequential, special, exemplary or punitive damages arising solely from your access to, reliance upon or inability to access the publicly available website.
This limitation does not apply to liability that cannot legally be excluded or limited, including where applicable liability resulting from fraud, intentional misconduct or other liability that applicable law prohibits us from limiting.
Liability arising from:
is governed by the applicable EULA, Order Form or other written agreement between barKoder and the customer.
Nothing in these Terms creates a separate liability cap that overrides a liability provision contained in a more specific agreement.
The website may contain links to third-party websites, applications, products or services.
Such links may be provided for convenience, reference or informational purposes.
Unless expressly stated otherwise, the inclusion of a third-party link does not imply that barKoder sponsors, endorses, controls or is affiliated with that third party.
barKoder does not control and is not responsible for:
Your use of third-party websites and services is governed by the terms, privacy notices and policies of the relevant third party.
You are responsible for ensuring that your use of the website and barKoder products complies with laws and regulations applicable to you, your organization and your intended use.
Nothing in these Terms limits barKoder's own obligations under laws and regulations applicable to barKoder.
Additional requirements relating to export controls, sanctions, software licensing and use restrictions may apply under the EULA or another agreement governing the applicable barKoder product.
You must not use barKoder products or services in a manner prohibited by applicable export-control, sanctions or other mandatory laws.
Fees, subscription terms, renewals, cancellation rights and refund conditions relating to barKoder products and services are governed by the applicable:
Except where otherwise stated in an applicable agreement or required by applicable law, fees paid for barKoder licenses, subscriptions and services are non-refundable.
Nothing in these Terms excludes or limits any mandatory cancellation, withdrawal, refund, consumer-protection or other statutory right that cannot lawfully be waived or excluded.
Where a customer purchases a barKoder product in the course of its trade, profession or business, the commercial terms agreed between barKoder and that customer will apply.
barKoder may suspend or terminate access to website functionality or an account where reasonably necessary because of:
Where reasonably practicable and appropriate, barKoder will provide notice of suspension or termination.
Termination or suspension of access to the website does not automatically terminate an EULA, Order Form or other separate commercial agreement unless that agreement provides otherwise.
Rights and obligations that by their nature should survive termination, including intellectual-property rights, confidentiality obligations, liability limitations and dispute provisions, will remain in effect.
These Terms are governed by the laws of the Republic of Bulgaria, without regard to conflict-of-law principles.
Where you use the website in the course of a trade, business or profession, disputes relating exclusively to these Terms and not governed by another agreement will be subject to the competent courts of Sofia, Bulgaria, unless otherwise agreed in writing.
Disputes relating to a barKoder software license, Order Form or other commercial agreement remain subject to the governing-law and dispute-resolution provisions contained in that agreement.
If mandatory applicable law gives you the right to bring proceedings in another jurisdiction or provides protections that cannot legally be waived, nothing in these Terms limits those rights.
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted by law.
If that is not possible, the relevant provision will be severed.
The remaining provisions will continue in full force and effect.
A failure or delay by barKoder in exercising or enforcing a right or provision under these Terms does not constitute a waiver of that right or provision.
A waiver is effective only where expressly made by barKoder in writing.
You may not assign or transfer your rights or obligations under these Terms in a manner that materially affects barKoder without our prior written consent.
barKoder may assign these Terms in connection with a merger, acquisition, corporate restructuring, sale of substantially all relevant assets or similar business transaction, subject to applicable law.
Where your relationship with barKoder is governed by another agreement, assignment rights under that agreement will apply instead.
These Terms constitute the agreement between you and barKoder concerning use of the website to the extent that such use is not governed by a separate agreement.
These Terms do not replace, amend or supersede an applicable EULA, Order Form, non-disclosure agreement, statement of work or other separately agreed contract except where expressly stated.
If a specific agreement applies to a barKoder product or service, that agreement will govern the matters within its scope.
